PLEASE READ THESE OFFICIAL RULES CAREFULLY BEFORE ENTERING.  By entering the 2026 Philadelphia Cycling Classic x SHIMANO Giveaway Promotion (the “Promotion”), you (“Entrant”) agree to be bound by these Official Rules and the decisions of Race Street Partners, LLC (“Sponsor”), which are final and binding in all respects. The Promotion is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law. 

  

1. SPONSOR: The Promotion is sponsored and administered by Race Street Partners, LLC (also referred to as the “Administrator”), 51 N. 3rd Street, Suite 221, Philadelphia, PA 19106. 

 

2. ELIGIBILITY/PARTICIPATION: The Promotion is open only to legal U.S. residents, currently residing in the 50 US states & DC (“Eligibility Area”) who are eighteen (18) years of age or older as of the date of their entry. Employees, directors, and officers of Sponsor, Administrator, and any of their respective affiliates, parents, subsidiary companies, and advertising and promotion agencies (collectively, the “Promotion Parties”) and members of the immediate families (spouses, parents, children, step children, siblings, step siblings, and their respective spouses, regardless of where they reside), and/or those living in the same household, of any of the foregoing, are not eligible. The Promotion is subject to all applicable federal, state, and local laws. By participating in the Promotion, you agree that: (a) you have read and understand the Official Rules; (b) you meet the Promotion eligibility requirements as explained in the Official Rules; (c) you accept and agree to be bound by these Official Rules; and (d) you unconditionally accept and agree to comply with and abide by the decisions of Sponsor and Administrator, whose decisions shall be final and binding in all respects.  

 

3.  PROMOTION PERIOD: The Promotion begins on August 10, 2026 at 3:00 p.m. EDT and ends on August 23, 2026 at 11:59 p.m. EDT (“Promotion Period”). Sponsor's computer is the official timekeeping device. Entries received before or after the Promotion Period will not be eligible. 

  

4.  HOW TO PLAY/ENTER VIA SOCIAL MEDIA: During the Promotion Period, you can enter the Promotion by visiting the Sponsor's official post located at Instagram: https://www.instagram.com/p/Db3tw56IPha/?igsh=MW8ybTAyOGE2dG9zcg  (the “Post”) and leaving a comment on the Post in accordance with the instructions stated therein. Each eligible Entrant may submit only ONE (1) comment during the Promotion Period, regardless of the number of accounts, email addresses, or devices used.  Important: You must have a valid Instagram account to enter via this method. Creating an Instagram account is free of charge. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules.  Those who do not follow all the instructions, provide the required information, or abide by these Official Rules and Privacy Policy, or other instructions of Sponsor may be disqualified. 

 

5. ALTERNATIVE METHOD OF ENTRY (AMOE): To enter without commenting on Instagram, send a 3”x5” postcard with your full name, address, phone number, and email address to: Philadelphia Cycling Classic x SHIMANO Giveaway, 51 N. 3rd Street, Suite 221, Philadelphia, PA 19106. Mail-in entries must be postmarked by the last day of the Promotion Period and received within seven (7) calendar days thereafter. Limit one (1) mail-in entry per outer envelope and per Entrant. Mass or mechanically reproduced entries are void. Mail-in entries receive the same odds of winning as online entries. Sponsor is not responsible for lost, late, illegible, incomplete, damaged, misdirected, or postage-due mail. 

 

6. DRAWING AND ODDS: On or about August 24-26, 2026, Sponsor will conduct a random drawing from among all eligible entries received during the Promotion Period to select the potential winner(s). Odds of winning depend on the total number of eligible entries received. The drawing will be conducted by a representative of Sponsor whose decisions are final. Potential winner(s) will be notified using the contact information provided at the time of entry within three (3) business days of the drawing. Sponsor is not responsible for any inability to contact a potential winner due to incorrect or outdated contact information. 

 

7. PRIZE: One (1) Tier 1 winner will receive a pair of SHIMANO S-Phyre RC903 cycling shoes ($480 MSRP), paired with Dura-Ace PD-R9100 pedals ($300). One (1) Tier 2 winner will receive Ultegra PD-R8000 pedals ($200) and S-Phyre sunglasses ($150); and One (1) Tier 3 winner will receive Technium sunglasses ($135) and socks ($25). The total approximate retail value (ARV) of all prizes is $1,290.  The prizes are non-transferable and may not be substituted for cash or any other consideration, except that Sponsor reserves the right to substitute a prize (or any component thereof) with a prize of equal or greater value if the advertised prize becomes unavailable. Winner acknowledges that the prizes are being provided “AS IS” without warranty of any kind and the Promotion Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize or offer, including but not limited to its quality, mechanical condition or fitness for a particular purpose.  Any warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms.  

 

8. TAXES: All federal, state, and local taxes on the prize, and any other costs and expenses associated with prize acceptance and use not expressly awarded herein, are the sole responsibility of the winner. If the value of the prize awarded to any winner is $600 or more, or as otherwise required by law, the winner will be required to complete and return an IRS Form W-9 (or, for a non-U.S. person, the applicable IRS Form W-8) before the prize is awarded, and Sponsor will report the value of the prize to the applicable taxing authorities, including by issuing the winner an IRS Form 1099 where required. 

 

9. PRIZE WINNER NOTIFICATION/VERIFICATION: The potential winners will be notified via the contact information provided at entry. Potential winners must respond within five (5) business days of Sponsor’s notification attempt, or the prize may be forfeited and an alternate winner selected. Prior to being awarded a prize, a potential winner may be required to complete, sign, and return an Affidavit of Eligibility and a Liability and Publicity Release (except where prohibited by law) within the time period specified by Sponsor. If a potential winner cannot be contacted, is ineligible, fails to respond within the allotted time, or fails to provide necessary information, the potential winner will be disqualified, and an alternate winner may be selected. Sponsor reserves the right to conduct up to three (3) alternate drawings.

10. PUBLICITY 

Except where prohibited by law, acceptance of a prize constitutes winner's consent for Sponsor to use winner's name, photograph, likeness, voice, biographical information, social media handle, and statements for advertising, trade, promotional, and publicity purposes in any media worldwide, in perpetuity, without further compensation or written consent. 

 

11. RELEASE: By participating in the Promotion, and to the fullest extent permitted by law, each Entrant agrees to release, discharge, indemnify, and hold harmless the Promotion Parties and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, injuries, costs, and expenses of any kind (including reasonable attorneys’ fees) arising out of or relating to participation in the Promotion or the acceptance, possession, use, or misuse of any prize. 

 

12. GENERAL CONDITIONS: Sponsor reserves the right to cancel, suspend, modify, or terminate the Promotion at any time, with or without notice, if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion. In such event, Sponsor will award the prize(s) from among all eligible entries received prior to the action taken, if practicable.  

 

13. LIMITATION OF LIABILITY/GOVERNING LAW/MANDATORY ARBITRATION/CLASS ACTION WAIVER: BY ENTERING THE PROMOTION, ENTRANT AGREES THAT: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS PROMOTION, BUT IN NO EVENT ATTORNEYS' FEES; AND (C) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM, ANY PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.  THE PROMOTION IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF ​​​​NEW JERSEY AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN CAMDEN COUNTY, NEW JERSEY. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW JERSEY, AND ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN CAMDEN COUNTY, NEW JERSEY.   

   

14. SOCIAL MEDIA: This Promotion is in no way sponsored, endorsed, administered by, or associated with Instagram. Entrants release Instagram from any and all liability arising in connection with this Promotion. Any questions, comments, or complaints regarding the Promotion should be directed to Sponsor, not Instagram. Entrant agrees to comply with Instagram’s Terms of Service.  

 

15. REQUEST FOR THE WINNERS LIST:  To obtain a copy of the winners’ names (available after August 26, 2026), send a self-addressed, stamped envelope to the address in Section 1, Attn: " Philadelphia Cycling Classic x SHIMANO Giveaway PROMOTION Winners List," or send an email to info@philadelphiacyclingclassic.com Requests must be received within ninety (90) days after the end of the Promotion Period.
